1. Acceptance of Terms

By accessing or using Turfmetrics ("the Service"), you agree to be bound by these Terms & Conditions. If you do not agree to these terms, please do not use the Service.

2. Service Description

Turfmetrics provides turf management software and related services, including but not limited to weather data integration, disease threat forecasting, plant growth regulator modeling, and program management tools. We reserve the right to modify, suspend, or discontinue any part of the Service at any time with or without notice.

3. Account Security & User Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must:

• Maintain the security of your password and account information
• Immediately notify us of any unauthorized use of your account
• Not share your account credentials with unauthorized parties
• Ensure all users accessing your account are properly authorized
• Be responsible for all activities conducted through your account, regardless of who performed them

4. Acceptable Use Policy

You agree not to use the Service to:

• Engage in competitive intelligence gathering - You may not use the Service to gather information, methodologies, or insights for the purpose of developing, marketing, or operating a competing product or service
• Grant competitor access - You may not provide access to your account or any Service features to competitors, directly or indirectly, regardless of the duration or nature of such access
• Automated data collection - Use bots, scrapers, crawlers, or any automated means to access, collect, or extract data from the Service
• Reverse engineering - Attempt to reverse engineer, decompile, disassemble, or discover the source code, algorithms, or trade secrets underlying the Service
• Unauthorized sharing - Share access credentials, export proprietary data, or redistribute Service content to unauthorized third parties
• Violate any applicable laws, regulations, or third-party rights
• Transmit viruses, malware, or any other malicious code
• Circumvent or attempt to circumvent any security measures or access controls
• Use the Service in a manner that could damage, disable, or impair our servers or networks

5. Intellectual Property & Confidentiality

The Service and its original content, features, algorithms, calculations, data models, methodologies, and functionality are and will remain the exclusive property of Turfmetrics and its licensors. This includes, but is not limited to:

• Proprietary disease threat forecasting models and algorithms
• Plant growth regulator suppression calculations and models
• Weather data integration methodologies
• User interface designs and workflows
• Database structures and relationships

All such information constitutes trade secrets and confidential information of Turfmetrics. You agree to maintain the confidentiality of this information and not use it for any purpose other than your authorized use of the Service.

6. Termination & Access Revocation

We reserve the right to terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including but not limited to:

• Violation of these Terms & Conditions
• Suspected competitive intelligence gathering or unauthorized access sharing
• Discovery that competitors have gained access through your account
• Non-payment of fees
• Fraudulent, abusive, or illegal activity

Your right to use the Service will cease immediately upon termination. We reserve the right to pursue all legal remedies available for violations of these terms, including but not limited to seeking injunctive relief and monetary damages.

7. Subscription Plans & Billing

Turfmetrics offers various subscription plans with different features and pricing. By selecting a paid plan, you agree to pay all applicable fees. All fees are non-refundable except as required by law or as explicitly stated in our refund policy.

We reserve the right to modify our pricing at any time. Price changes will be communicated to you in advance and will not affect your current billing cycle.

8. Data & Privacy

Your use of the Service is also governed by our Privacy Policy. Please review our Privacy Policy to understand how we collect, use, and protect your information.

9. Aggregated & Anonymized Data

You acknowledge and agree that Turfmetrics may collect, aggregate, and anonymize data derived from your use of the Service in a manner that does not identify you or any individual user. Turfmetrics reserves the right to use such aggregated and anonymized data for any lawful business purpose, including but not limited to:

• Improving and optimizing the Service
• Developing new features, products, and services
• Conducting research, analysis, and benchmarking
• Generating industry insights and trend reports

Such aggregated and anonymized data is not considered your personal information or confidential data and may be used by Turfmetrics during and after the term of your subscription without restriction.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

Turfmetrics provides weather-based forecasting and management recommendations. These are estimates and predictions based on available data and should be used as one tool among many in your decision-making process. We do not guarantee the accuracy, completeness, or usefulness of any information provided by the Service.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL TURFMETRICS, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE.

12. Indemnification

You agree to indemnify, defend, and hold harmless Turfmetrics and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Service shall be resolved in the courts located in the applicable jurisdiction.

14. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.
